Terms of Service

Parties

The sales and subscription agreement regulates the dealings between the user (buyer/subscriber) and GramTrans (seller/service provider). GramTrans is a cooperation between two companies, GrammarSoft ApS (Denmark) og Kaldera språkteknologi AS (Norway), where the former, GrammarSoft ApS, takes care of gramtrans.com, handling among other things user administration and license payments.

Payment and conditions of use for credit cards

With the exception of certain direct use commercial or institutional licenses, all payment is administered online. The following methods of payment are accepted:

Your credit card will be debited only after you accept – by mouse click – both the sale/subscription as such as well as the sales and use conditions outlined in this document. Hereafter, the customer is liable for the payment, and must ensure a sufficient balance in the account used. GramTrans uses FRIbetaling (in connection with PBS A/S) to effectuate credit card payments, and renewal or removal of credit card numbers is managed through FRIbetaling’s interface.

Prices

Unless specified otherwise, the prices quoted on GramTrans’ website are half-yearly subscription rates, and subscriptions will continue until cancelled. Prices include Danish VAT, independently of the currency used (DKK, EUR eller USD).

For Commercial Direct licenses and certain multi-user licenses (e.g. institutional), as well as for API services, individually negotiated subscription prices may apply.

Delivery

GramTrans translations are provided as an internet service på gramtrans.com . The service will be available immediately, as soon as your payment is registered.

In the case of negotiated commercial or institutional subscriptions, payment may be made by invoice/bank transfer, and login/password will be provided on the agreed delivery date, or upon payment. For delayed payment, a reminder fee of 100,- DKK may be charged, as well as current Danish debit interest fees for outstanding amounts (currently 2,5% per month).

Order cancellation

Under Danish law, an online service like GramTrans falls under the service provider category (tjenesteydelser) which does not offer a 14 day order cancellation period, independently of whether the service has been ordered through the internet or not.

Claims and liability

GramTrans is being actively maintained and developed, and it is a robust system with a high availability ratio, but service interruptions can never be excluded completely, so GramTrans can guarantee neither zero errors nor zero interruptions. All users wishing to use the service and website, will do so at their own risk and liability.

Complaints have to be made to support@gramtrans.com without undue delay and at the latest 8 days after the date where user has received an invoice or noted a malfunction. As far as GramTrans is liable with regard to user’s complaint, liability will be limited to direct losses, and does not cover secondary damage and indirect losses such as turnover loss, loss of income etc., nor will GramTrans be liable in connection with user’s agreements with a third party.

Disclaimer of Warranties

The Website is provided “as is”. GramTrans and its suppliers and licensors hereby disclaim all warranties of any kind, express or implied, including, without limitation, the warranties of merchantability, fitness for a particular purpose and non-infringement. Neither GramTrans nor its owners, suppliers and licensors, makes any warranty that the Website will be error free or that access thereto will be continuous or uninterrupted. User is aware that service interruptions, server failure and other technical problems may occur, and will use the website www.gramtrans.com and its services at his own discretion and risk.

Limitation of Liability

In no event will GramTrans, or its owners, suppliers or licensors, be liable with respect to any subject matter of this agreement under any contract, negligence, strict liability or other legal or equitable theory for: (i) any special, incidental or consequential damages; (ii) the cost of procurement or substitute products or services; (iii) for interuption of use or loss or corruption of data; or (iv) for any amounts that exceed the fees paid by you to GramTrans under this agreement. GramTrans shall have no liability for any failure or delay due to matters beyond their reasonable control. The foregoing shall not apply to the extent prohibited by applicable law.

Force Majeure

In connection with sales/subscription, delivery and use exemptions are made as to force majeure (e.g. blackout, war, natural desasters, strike, fire, destruction of infrastructure or hard- and software). In the case of force majeure GramTrans can chose either to cancel the sale/subscription, or to implement delivery as soon as normal conditions have been reestablished. Under the force majeure clause GramTrans cannot be made liable for user’s possible losses from a lack of service or delivery.

Copyright and other rights

With the explicit exception of subscriber’s use of the services included in a given subscription, it is not allowed, without prior written consent, to partially or completely reproduce, copy, distribute, project or store material obtained from gramtrans.com. All text, program code and graphics, as well as all language resources at the site belong to the copyright owners behind GramTrans.

Conditions of use

Without prior written consent or a separate commercial or institutional agreement with GramTrans none of the following is allowed:
Automatic translation: all text input to the GramTrans translation service has to originate directly from a human user – specifically, it is not allowed to access the system through a program script or an automatic client
Multiple user accounts: every person/user has to have his/her own account. Logins and passwords are strictly personal and may not be passed on to a third party (other user). In the case of violation of this provision, a fine of DKK 4.000,- will be payable per violation, unless general liability claims warrant a liability sum in excess of this figure.

Confidentiality conditions

GramTrans stores some information concering the texts run through the translation system, in order to improve translation speed, translation memory and statistical translation knowledge. This includes, but is not limited to, the following:

  • The text as such.
  • The translation result.
  • Users’s IP address.
  • The precise date and time when the translation was effectuated.

If you intend to use GramTrans for confidential texts, or need a high level of security for some other reason, please contact us for an individual solution.

General provisions

Reservations are made with regard to typing errors and document visualisation errors. Please note that changes in prices and product specifications may occur.
